These terms of use for the "AI Tools" functionality ("Terms") govern the relationship between Alaio ("we", "our", "Alaio") and the User ("You"), when using the additional functionality of the Bitrix24 software program ("Software") based on artificial intelligence, machine learning, or similar technologies.
By using AI Tools, You acknowledge Your full consent with these Terms, as well as Alaio's general Terms of Service, Privacy Policy, and End User License Agreement. If You do not accept these Terms, You must not use AI Tools.
Terms and Definitions
1. AI Agent - software solutions capable of perceiving the environment, making decisions, acting autonomously, and adapting after deployment.
2. AI System - means any software, service, or technology integrated into the Software that operates on the basis of artificial intelligence, machine learning, or similar technologies. An AI System may perform tasks autonomously or semi-autonomously, and adapt or improve its performance through exposure to data or user interactions, either independently or in conjunction with third-party AI Providers.
3. AI Tools - a set of software solutions implemented in the Software based on artificial intelligence technologies, including Bitrix24 CoPilot, AI Agents, text generation functions, recommendations, actions, and other forms of automated information processing.
4. Bitrix24 CoPilot (CoPilot) - functionality based on artificial intelligence technologies, designed to provide text responses, hints, suggestions, analytics, or other information in response to an initiating user action or system event caused by their activity (for example, starting a call, creating a task, opening a deal, etc.).
1. General Provisions.
1.1. AI Tools operate using artificial intelligence technologies (software programs, services) provided by third parties as specified in section 20 List of AI Providers herein, with the help of which a specific type of AI Tool operates ("AI Technologies").
1.2. When using a specific type of AI Tools, You confirm that You understand, agree and accept the terms governing the use of the corresponding AI Technology ("AI Provider's Terms") established by their AI providers or licensors ("AI Providers"). You are responsible for monitoring and complying with the applicable AI Provider's Terms. If the AI Providers amend any provisions of their AI Provider's Terms, the updated AI Provider's Terms will apply to You.
1.3. When using Software functionality features that support the connection of AI Tools, AI Tools may be activated automatically together with the relevant functionality. IF THE USER HAS NOT DISABLED OR RESTRICTED AI TOOLS BEFORE USING A PARTICULAR FUNCTIONALITY, LAUNCHING THAT FUNCTIONALITY WILL RESULT IN THE USE OF AN AI TOOL. AI AGENTS MAY BE AUTOMATICALLY ACTIVATED IN THE BITRIX24 CUSTOMER ACCOUNT FROM THE MOMENT THE ACCOUNT IS CREATED. NO ADDITIONAL ACTION IS REQUIRED FROM USERS TO ENABLE AI TOOLS. AI Tools operate according to the configured settings, which may include the automatic collection and processing of data necessary for their operation, including the transfer of such data to the AI Providers. The data you provide will be processed directly by the AI Technology, and not by Alaio. Alaio is not responsible for the processing or security of such data, nor for any actions taken by the AI Technology or AI Providers with respect to that data.
1.4. The use of AI Tools is prohibited for making decisions which produce legal effects concerning individuals, or similarly significant effects, without meaningful human involvement. This includes, in particular, the fully automated evaluation or assessment of employees or customers where no appropriate human oversight is exercised.
1.5. You are solely responsible for assessing whether it is appropriate to use AI Tools and any associated functionalities. You also assume full responsibility for compliance with all applicable laws, as well as with the requirements and restrictions set by AI Providers in the terms governing the use of relevant Technologies, including where you enable AI Technologies not expressly covered by these Terms.
1.6. Regarding personal data processing, an integral part of these Terms is the Data Processing Agreement.
1.7. Alaio has the right to unilaterally modify these Terms by posting the updated version on the Internet at https://www.bitrix24.vn/terms/bitrix24copilot-rules.php.
2. Interaction with AI Agents.
2.1. When using AI Agents, You agree that:
(1) the actions of such AI Agents (for example, generating tasks, suggestions, notifications, integration with other services) may be performed without a direct request or command from the User;
(2) The User undertakes to exercise meaningful human oversight and control over the actions of AI Agents within their Bitrix24 Customer Account;
(3) AI Agents do not possess legal personality, and any actions performed by such AI Agents shall be attributed to the Bitrix24 Customer Account User under whose authority and control they operate.
3. Interaction with CoPilot.
3.1. The choice of AI Technology for CoPilot functioning and its disconnection or restriction in the Bitrix24 Customer Account can be carried out by the Bitrix24 Customer Account Administrator, as well as its subsequent activation. Until CoPilot is disabled by the Bitrix24 Customer Account Administrator, any user of the Bitrix24 Customer Account can use it.
3.2. CoPilot, certain functionalities of the Services that support CoPilot, or the corresponding AI Technology may be or become unavailable, blocked, or prohibited for use by AI Provider or by Your applicable law.
3.3. When using CoPilot, Content generation can be carried out through one of several AI Technologies, at the choice of the User or Bitrix24 Customer Account Administrator.
3.4. Each User, when using CoPilot, may select from any of the available AI Technologies, including those provided by third-party services connected to CoPilot by the Bitrix24 Customer Account Administrator.
3.5. When connecting an AI technology to CoPilot that is not provided by Alaio, You are solely responsible for independently reviewing and ensuring compliance with the applicable terms of use, the legality of using such technology, and the procedures governing the processing of data, including personal data, that You provide to that AI technology. By using such external AI technology, You confirm that You have read, understood, and accepted its terms and conditions.
4. Terms of Use and Restrictions Regarding AI Tool-Generated Data (Content).
You understand and agree that:
4.1. Content is formed in response to a request, which can be formed both when entering any data by the User and as a result of AI Tools working within the Software functionality ("Request(s)");
4.2. Content may not be unique due to the nature of machine learning of the AI Technology, and other users may receive the same or similar Content upon entering similar Requests. Content that is requested by and generated for other users is not considered Your Content;
4.3. Content may not reflect real facts, meet specific requirements, or align with Your standards;
4.4. Content may include watermarks or other signs and/or signatures generated automatically and/or containing an indication that the Content was created (generated) using AI Technologies. The use of technical means to remove, change, or hide these signs is prohibited. When distributing Content that requires marking in accordance with legislation, You undertake to independently carry out such marking;
4.5. Alaio does not create or modify Your Content, and does not initiate the creation or placement of Your Content. Alaio does not and should not have any knowledge of the possible illegitimacy of Your Requests and Content, including possible violations of third-party rights or applicable law. Alaio cannot be regarded as the initiator of any Content; the User is solely considered the initiator of Content when using Software functionality that enables AI Tools;
4.6. Your rights to Content when using AI Tools are governed by the terms of use of the corresponding AI Technology.
5. License Grant and Permitted Uses. You grant Alaio a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use the Content for the purposes of providing, maintaining, and improving AI Tools; developing, training, and enhancing AI models; troubleshooting issues; ensuring the security and reliability of our services and products; complying with legal and regulatory requirements; generating aggregated or anonymized data for analytics, research, and innovation; and other purposes aimed at improving the quality of services and products delivered to You.
6. Other Provisions.
You understand and agree that:
6.1. Alaio's Use of Your Content for AI development. ALAIO MAY USE YOUR CONTENT TO CREATE, IMPROVE, AND TRAIN ITS ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING MODELS. This includes the collection, analysis, recording on physical media, categorization, analysis, accumulation and storage, refinement (technical modification, adaptation), extraction, use, deletion, and destruction of the Content. You represent and warrant that You have all necessary rights and permissions for the Content to be used by Alaio.
6.2. Use of Content by AI Providers. AI Providers can use your Content including for the purposes of provision, maintainance, development, and improvement of their AI Technologies as described in the relevant AI Providers' Terms.
6.3. Pre-prompts. Alaio provides pre-installed short instructional or interrogative texts ("Pre-prompts") in AI Tools, which are provided to You to ensure structured and targeted interaction between the User and artificial intelligence. You can use prepared Pre-prompts or create your own when connecting the AI Technology of Your choice. Users have the opportunity to send data about AI Tools' work and their interaction with AI Technology to Alaio, including with third-party AI technology, including data and/or information at their discretion, in order to improve Pre-prompts used by You in the specified interaction.
7. Restrictions and Liability.
7.1. You agree not to use AI Tools:
(1) in a way that violates or attempts to violate any national or international law or regulation, third party rights, AI Provider's Terms. This includes the prohibition of presenting Content as human-created if this does not correspond to reality, as well as any other violation of AI Provider's Terms or any applicable legislation;
(2) to decompile, disassemble, reverse engineer, reverse assemble, translate, or otherwise attempt to discover the source code or underlying components of any AI Tool, AI Technology, including its models, algorithms, systems, components, modules, or any Content. This prohibition includes, without limitation, creating or synthesizing new content with similar audio features or voice accompaniment, except when such actions are performed using the corresponding AI Technology within the AI Tools. Additionally, You may not use the AI Technology to generate or synthesize new performances based on Content provided through the AI Technologies;
(3) use Content to develop services or programs that compete or may compete with AI Technologies;
(4) except in cases permitted through AI Technology APIs, use any automated or software methods to extract data or results from AI Technologies, including scraping, data collection on the Internet, or data extraction from the Internet;
(5) generate or distribute false information and/or Content, as well as personal and/or personal information that may be used to harm third parties or for discrediting, humiliation, or other persecution. This includes discrimination or harm to individuals or groups based on their social behavior on the Internet or outside it, as well as known or predicted personal or personality characteristics;
(6) for fully automated decision-making that may negatively affect human rights;
(7) to create or distribute information for use in the administration of justice, law enforcement activities, immigration or asylum processes, and other similar areas of activity.
7.2. You acknowledge and agree that:
(1) The User using AI Tools is recognized as the operator of the AI System and bears responsibility for:
a. informing third parties (for example, employees) about interaction with AI Tools. Before allowing any user to use AI Tools, familiarize them with the Terms. Any use of AI Tools by users confirms the fact of Your fulfillment of this obligation and places responsibility for the actions of users of Your Bitrix24 Customer Account on You;
b. compliance with any applicable legislation requirements in the field of personal data protection and automated decision-making. Including monitoring and compliance with applicable legislation in the field of artificial intelligence use;
c. the risk of violating third party rights when using Content.
(2) Alaio is not responsible for actions, decisions, or recommendations created by AI Systems, AI Tools, including AI Agents;
(3) Certain Software functionalities may offer the option to use AI Tools for speech recognition, including transcribing telephone or video conversations into text. Where this feature is available, AI Tools may automatically process such calls from the moment the relevant functionality is first used. If you choose to use such Software functionalities, you are responsible for taking all necessary legal measures to ensure the lawful processing (including recording) of telephone and video conversations, as well as the use of any resulting data - including personal data - by AI Tools, is lawful;
(4) You guarantee that You have obtained all necessary consents and possess the necessary rights to transfer information processed by AI Tools to the AI Providers of the corresponding AI Technology and Alaio, and bear responsibility for actions related to the transfer of personal data and consequences of processing personal data provided by You to Alaio and the AI Providers.
7.3. Alaio is not responsible and shall not be held liable for:
(1) any damage, loss of income, profit, information, or savings related to the use or inability to use AI Tools and Content. This also applies to any consequences of using AI Tools and/or choosing AI Technology, possible losses and/or fines;
(2) any violations of third party rights or breaching the applicable legislation resulting from Your use of AI Tools and Content;
(3) the fact and/or consequences of compromise or accessibility to third parties of any information belonging to You, including legally protected information, in connection with the use of AI Tools;
(4) any inaccuracies, results, or information obtained from the use of AI Tools. You agree to independently verify and review the Content before using it for any critical or sensitive purposes, accepting full responsibility for any risks or consequences associated with its use;
(5) Content that may be inappropriate, illegal, offensive, harmful, defamatory, or otherwise objectionable in any manner;
(6) the availability or downtime of the AI Technologies impacting the operation of AI Tools.
7.4. Alaio reserves the right to:
7.4.1. block or restrict the possibility of using AI Tools in case of implementation of legislative or other restrictions on the use of AI Technology or similar services/software programs.
7.4.2. block or restrict the possibility of using AI Tools at the Alaio's discretion if there are grounds to believe that You are violating the Terms, obligations and/or guarantees. Alaio has the right to independently conclude about a possible violation based on available information, including complaints;
7.4.3. to enforce fair usage limits on AI Tools to maintain optimal service availability and performance. These limits may include restrictions on the number or frequency of Inputs submitted by You and/or within a single Bitrix24 Customer Account. Such restrictions will depend on Your Service Plan;
7.4.4. disable or reduce the performance of AI Tools, either entirely or within specific functionalities, at its sole discretion.
8. AI Provider's Terms.
8.1. 8.1. By using OpenAI's AI Technologies, including but not limited to ChatGPT, Whisper, DALL-E, You agree to the Terms of Use, which can be found at https://openai.com/policies/terms-of-use, Service Terms, Usage Policy; Sharing and Publication Policy. Any Request You submit will be transmitted to the USA for processing by this AI Provider. This AI Technology is not part of the Software.
9. Availability and Performance.
9.1. AI Tools, or certain functionalities that support AI Tools, or the corresponding AI Technology, may become unavailable, blocked, or prohibited for use in Your country by AI Provider or by Your applicable law.
9.2. AI Tools may be unavailable or perform slowly due to reasons caused by the relevant AI Provider and not Alaio.
